Grid Terms of Service

These Terms of Service constitute a legally binding agreement (the “Agreement”) between you and Grid Transportation Service, Inc., its parents, subsidiaries, representatives, affiliates, officers, and directors (collectively, “Grid,” “we,” “us” or “our”) governing your use of the Grid application (the “Driver Anywhere App”), website, and technology platform (collectively, the “Grid Platform”).
This “Affiliate Agreement” (“Agreement”) is executed one year from the date that this Agreement is signed by Affiliate between Grid Transportation Service, Inc. (herein referred to as "Grid”) and (herein referred to as the “Affiliate”). In consideration of mutual promises herein contained, Grid Transportation Service, Inc. and Affiliate agree as follows. TERMS AND TERMINATION: This Agreement begins on the effective date and shall remain effective for one year. This is the initial term of the Agreement, or until terminated under the terms that we have provided. Thereafter the Agreement shall remain in effect month to month until terminated by either party by providing 30-Day written notice. During the period the Agreement is in effect, Grid will be responsible for all charges incurred for services provided through the notice period. During the initial term, either party can terminate this Agreement if either party shall fail to uphold the terms of this Agreement. If a breach of this Agreement occurs, written notice of the breach must be provided to the party that has violated the Agreement. SERVICES: Affiliate shall provide quality, professional, and reliable services to Grid and its clients that are consistent with the needs, standards, and policies set forth by Grid. FEES AND PAYMENT: Affiliate agrees to provide all services at the specified agreed-upon rates. Rates will remain the same from the Agreement effective date through one calendar year. Grid agrees to provide payment to Affiliate via credit card/or check for all runs that take place. For single runs, the credit card on file may be authorized the same day – once all added charges are communicated. Group manifest will require an invoice 48 hours upon completion of the program. Once the invoice is reconciled Grid will approve the lump charge and a credit card or check will be sent. CONFIDENTIALITY: Affiliate agrees that all information regarding any transportation requests, clients, or personal information is to remain confidential. This includes, but is not limited to, contents of this Agreement, conversations that occur in the vehicles, addresses, and telephone numbers. The Affiliate may not sell, distribute, or disclose any information provided to the Affiliate to complete the charter as requested. Affiliates are not authorized to take photos or videos of any Grid Client. NON-SOLICITATION: Affiliate agrees they will not solicit the business of any passenger, client, or partner of Grid. If Affiliate is found to have directly or indirectly solicited, diverted, or taken away any client of Grid, this Agreement will be terminated immediately. INDEMNIFICATION: Each party to this Agreement shall indemnify, defend and hold harmless the other party and its directors, officers, agents, and employees from and against all costs, liability, demands, claims, damages to persons or property, losses, and liabilities, including reasonable attorney fees arising solely caused by the indemnifying party’s negligence or willful misconduct regarding the scope of work or services contemplated by this agreement.
